Terms of Service

1. Scope and definitions

These Terms of Service (“Terms”) govern the use of the Prismar application (“Service”), provided by Julius Mundt, Kapitelweg 12, 53332 Bornheim, Germany (“Provider”). “User” means any natural or legal person who creates an account or uses the Service.

2. Description of the service

Prismar is a project management tool for content planning and bug tracking. The Service is currently provided free of charge. The Provider is not obliged to offer any individual feature permanently and may further develop, change or discontinue the scope of functions.

3. Registration and eligibility

An account is required to use the Service. The information provided on registration must be accurate. Access credentials must be kept confidential. The User must have legal capacity or otherwise be entitled to use the Service.

4. Acceptable use

The User undertakes not to misuse the Service. In particular, it is prohibited to:

5. User content and rights

Content submitted by the User remains the User’s property. The User grants the Provider the simple right, limited to providing the Service, to store, process and display such content insofar as this is necessary for operation. The User is responsible for the content they submit.

6. Data processing on behalf of the Customer (DPA)

Where the User uses the Service in the course of a business activity and the Provider thereby processes personal data on the User’s (or the User’s organisation’s) behalf, the Data Processing Agreement (Auftragsverarbeitungsvertrag pursuant to Art. 28 GDPR) applies and is incorporated into these Terms by reference. In that case, “Customer” within the meaning of the Data Processing Agreement is the natural or legal person on whose behalf the workspace is operated.

A User who enters into these Terms or operates a workspace for a company or other entity represents that they are authorised to bind that entity; in that case that entity is the Customer within the meaning of the Data Processing Agreement.

Purely private use of the Service within the meaning of Art. 2(2)(c) GDPR (household exemption) is not subject to the Data Processing Agreement.

7. Availability and warranty

The Service is provided with reasonable care but without any assurance of a particular availability. As the Service is offered free of charge, there is no claim to uninterrupted availability, to particular features, or to freedom from errors.

8. Limitation of liability

The Provider is liable without limitation for intent and gross negligence, as well as under the German Product Liability Act and for injury to life, body or health. For slight negligence, the Provider is liable only for breach of a material contractual obligation (cardinal obligation) and limited to the foreseeable damage typical for the contract. Otherwise, liability is excluded.

9. Suspension and termination

The User may delete their account at any time. In the event of breaches of these Terms, the Provider may suspend or terminate the account after weighing the interests involved. The right to extraordinary termination for good cause remains unaffected.

10. Changes to these Terms

The Provider may amend these Terms with effect for the future, insofar as this is necessary and does not unreasonably disadvantage the User. Users will be informed of changes in an appropriate manner. If the User does not object within a reasonable period or continues to use the Service, the amended Terms are deemed accepted.

11. Governing law and jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Insofar as the User is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Bornheim. Mandatory consumer-protection provisions of the state in which a User has their habitual residence as a consumer remain unaffected.
